DR Johns Lab Pvt. Ltd. is a company incorporated under the Companies Act, 2013, having its registered head office at 212, Choudhary Dilip Singh Bhawan, Shahpur Jat, New Delhi – 110049, and its manufacturing plant at Plot No. 3, Sector 6A, IIE, SIDCUL, Haridwar, Uttarakhand – 249403 (referred to in this document as "DR Johns Lab", "we", "us", or "our").

These Terms & Conditions govern your use of the website drjohnslab.com and any communications, enquiries, or business interactions you initiate through it.

By accessing this website, you confirm that you have read and accepted these Terms in full. If you are accessing this website on behalf of a company or organisation, you confirm that you have authority to bind that entity to these Terms.

Any manufacturing arrangement, pricing proposal, or supply agreement must be formalised in a written contract signed by authorised representatives of both parties before either party is bound.

We aim to respond to all manufacturing enquiries within 24 business hours. Response times may vary depending on the complexity of the enquiry and our current production schedule.


5. Manufacturing Services — Key Terms

Where DR Johns Lab and a client proceed to a formal manufacturing arrangement, the following principles apply in addition to any specific contract terms agreed between the parties.

Formulations and specifications: All products manufactured by DR Johns Lab will be produced in accordance with the specifications agreed in writing with the client. We will not deviate from agreed specifications without the client's written approval.

Quality and batch release: Every batch produced at our facility is subject to in-process quality checks and finished goods testing. Formal batch release by our Quality Assurance team is required before any batch is dispatched. We will not dispatch a batch that has not received QA clearance, regardless of timeline pressure.

Regulatory compliance: All manufacturing is conducted in compliance with the Drugs and Cosmetics Act, 1940, the Drugs and Cosmetics Rules, 1945, and applicable WHO-GMP standards. The client is responsible for obtaining and maintaining all product licences, market authorisations, and regulatory approvals required for the sale and distribution of products under their brand name.

Intellectual property: Unless otherwise agreed in writing, formulations developed by DR Johns Lab using our proprietary processes and know-how remain the intellectual property of DR Johns Lab. Formulations supplied by the client and manufactured on their behalf remain the intellectual property of the client. All IP arrangements must be specified clearly in the manufacturing agreement.

Confidentiality: Both parties acknowledge that enquiries, formulations, pricing, and manufacturing discussions may involve confidential commercial information. Both parties agree to treat such information as confidential and not to disclose it to third parties without mutual written consent, unless required to do so by law or regulatory authority.


6. Payments and Commercial Terms

All pricing, payment schedules, advance requirements, and credit terms are agreed individually with each client and documented in the relevant manufacturing agreement or purchase order.

General terms that typically apply unless otherwise agreed:

  • An advance payment is required before production commences on any new product or with any new client
  • Payment terms for repeat orders are agreed between DR Johns Lab and the client based on the manufacturing relationship
  • All prices are quoted in Indian Rupees (INR) unless otherwise specified in writing
  • Goods and Services Tax (GST) is applicable on all supplies in accordance with the Goods and Services Tax Act, 2017, and the applicable GST rate for pharmaceutical and nutraceutical products

DR Johns Lab reserves the right to withhold dispatch of finished goods until all outstanding payments have been cleared.


7. Delivery and Logistics

Dispatch timelines communicated during an enquiry are estimates only. Actual production and dispatch timelines depend on raw material availability, batch queue, QA release outcomes, and other operational factors.

Unless otherwise agreed in the manufacturing contract, dispatch is ex-works from our Haridwar plant. Risk of loss or damage passes to the client upon handover to the courier or freight partner.

DR Johns Lab is not liable for delays caused by circumstances outside our reasonable control, including but not limited to raw material supply disruptions, regulatory holds, natural events, transport strikes, or force majeure.


8. Limitation of Liability

To the fullest extent permitted under applicable Indian law, DR Johns Lab's total liability to you — whether in contract, tort, statute, or otherwise — arising from or related to your use of this website or any manufacturing services provided is limited to the value of the specific order or transaction to which the claim relates.

In no event will DR Johns Lab be liable for any indirect, incidental, consequential, or punitive loss, including loss of profit, loss of business, or reputational damage, arising from your use of this website or from any manufacturing arrangement.

Nothing in these Terms excludes or restricts any liability that cannot lawfully be excluded under Indian law, including liability for fraud or fraudulent misrepresentation.


9. Intellectual Property — Website Content

These Terms & Conditions are governed by and construed in accordance with the laws of India.

Any dispute arising from or relating to these Terms, this website, or any business relationship with DR Johns Lab shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

If you are accessing this website from outside India, you acknowledge that these Terms are governed by Indian law and that you submit to the jurisdiction of the courts of New Delhi for any dispute arising from your use of this website.


15. Dispute Resolution

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved within 30 days of written notice, either party may refer the matter to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India. The arbitration shall be conducted in English.


16. Force Majeure

DR Johns Lab will not be in breach of these Terms or any manufacturing agreement for any failure or delay in performance caused by circumstances beyond our reasonable control. This includes, without limitation: natural disasters, pandemic, epidemic, regulatory actions by government authorities, raw material shortages caused by supply chain disruptions, power failures, cyberattacks, or industrial action.

We will notify affected clients as soon as practicable and will resume performance as quickly as possible once the force majeure event has passed.


17. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page.

Your continued use of this website after any update constitutes acceptance of the revised Terms. We recommend checking this page periodically, particularly before submitting a significant business enquiry.

If we make material changes that affect existing manufacturing relationships, we will notify affected clients directly.


18. Severability

If any clause of these Terms is found to be unlawful, invalid, or unenforceable under applicable law, that clause will be severed from the rest of the Terms. The remaining Terms will continue in full force and effect.


19. Entire Agreement

These Terms, together with our Disclaimer, Privacy Policy, Cookie Policy, and GDPR & Data Protection Policy, constitute the entire agreement between you and DR Johns Lab regarding your use of this website.

For manufacturing services, the entire agreement is set out in the signed manufacturing contract between DR Johns Lab and the client. These website Terms do not supersede or vary any signed contract unless both parties agree in writing.
